Agilent to acquire Proscia for $240 million as early as 2027

Agilent Technologies is set to acquire Proscia in a $240 million cash deal, with potential additional payments based on future milestones, strengthening its digital pathology solutions and long-term growth prospects.

Agilent Technologies has entered into a definitive agreement to acquire Proscia in an all-cash transaction valued at $240 million in cash at closing and up to an additional $30 million based on achieving future performance milestones.

Agilent and Proscia entered into a multi-year distribution agreement in September 2022 to offer a comprehensive digital diagnostic-pathology system. The acquisition builds on Agilent’s established pathology solutions and its partnership with Proscia.

The combination builds on the successful completion of Agilent’s recent transaction with Biocare Medical, and offers meaningful strategic and financial benefits, including:

  • Strengthening Agilent’s pathology portfolio
  • Enhancing companion diagnostics and biopharma drug discovery offerings
  • Supporting Agilent's long-term growth profile

The transaction is subject to customary closing conditions and is expected to close early in Agilent’s fiscal year 2027. Upon closing, Proscia will become part of the Agilent Life Sciences and Diagnostics Markets Group.
